Acceptance of the conditions of use
Use or access to the services provided by Dexli supposes that the user of Dexli’s services (hereafter “the User” or “You”) respect the conditions of use outlined below (hereafter “Conditions of Use”). Please read attentively these Conditions of Use, print them, and keep a copy. Additionally, the use of certain services can imply Your acceptance of specific conditions, a licence for the use or a usage guide which is available on the pages regarding these services. Except where otherwise specified, these specific conditions apply in addition to the Conditions of Use. Nevertheless, the list of specific conditions supplied in article 15 will prevail in the case of a contradiction.
If You do not accept the Conditions of Use, You must disconnect from Dexli immediately.
Description of the services
Dexli offers, free of charge and without prior subscription, different research functions permitting You to search for– using keywords or product categories– a determined good or a service, offered on websites of third-party merchants on Dexli (hereafter “Merchants”) and to compare their characteristics or their prices.
The results provided to You are not an exhaustive list of all the offers available on the internet and is provided through data collected by Dexli from listed Merchants.
The order of the offers listed by default may depend on several factors based on the type of search that You make. If You search by category, only the offers that Merchants have paid to be listed will appear and the default ordering is based on the price of the products referenced.
If You make a search using the search engine (keyword search), then all offers of Merchants on Dexli can appear, and, on top of the price paid, other criteria are taken into account in the default ordering of the offers: popularity, relevance of the Merchants’ data to Your request or even the response time of the site of a given Merchant.
Periodical updating of the data occurs according to the type of data; which varies according to merchants and their respect of the technical requirements of Dexli, with a maximum of 24 hours, except for weekends and public holidays.
If You then wish to buy the good or service that You have selected, You must then access the site of the Merchant of Your choice.
Merchants are third parties. When You use the services offered by a Merchant, and, notably, when You access their website from Dexli to purchase a good or service, You agree to abide by their Conditions of Use, as Dexli is a third party to Your relations with the Merchant. In the same way, in the event that one of these products is ordered, and after acceptance of this order by the Merchant concerned, the price indicated on the Merchant’s site at the time of Your sale will apply.
Dexli can also present You with promotional links, also called sponsored links, advertising messages or promotions identified as “advertising” or “sponsors”, which You may encounter when using our Service.
Dexli also offers, for free, information about products, buying guides, or even games and offer You the possibility to consult and write opinions on products and Merchants listed on Dexli’s website (hereafter “Users’ Opinions” or “Opinions”). Users’ Opinions are subject to specific conditions of use (hereafter “Conditions of Use for Opinions”).
Your contractual relations with Dexli are dictated exclusively by these Conditions of Use. Your relations with Merchants and/or Advertisers will be dictated by their respective contracts.
The Services are for the exclusive use of physical persons in a non-professional capacity. You are not permitted therefore to engage in commercial activity or seek profit from the Services or access to the Services.
In order to use the Services, through Your computer or through other means, You must have access to the internet with the appropriate connection speed. Any fees incurred from Your access are Your responsibility. Additionally, You must provide Your own hardware devices necessary to access the internet. It is Your responsibility to ensure that Your hardware devices and programs do not interfere with the services provided by Dexli.
Users’ Opinions
If You wish to submit an Opinion, You have a legal obligation for identification. Also, before being able to submit an opinion, You must read and understand the conditions regarding the treatment of Your Opinion.
Dexli is responsible for the personal information collected for the needs of the User’s Opinions Service.
Your opinion is also susceptible to appear on the Dexli Network, which consists of editors of the websites distributing the Services of Dexli, co-branded or generic.
If You see an Opinion that is illicit, You can report it to Dexli, who will then promptly take measures on the Opinion with illicit content.
Dexli’s Policy Concerning Personal Information
You can consult our Services and enter into a relation with the Merchant and choose not to subscribe or identify Yourselves with Dexli.
Data collected from subscription when using certain Services and IP addresses directly collected by Dexli when You use the Services are treated whilst respecting the principles of protection of personal data as defined by law. Dexli can use cookies (please make sure to consult our Cookie Policy for this matter) as well as systems measuring clicks to allow it to determine the number of successful visits for listed Merchants.
You can configure Your browser to accept cookies from the sites that You visit, to systematically reject all cookies, or to ask You each time whether You wish to accept them or not. The technical information relating to the configuration of Your browser can be found on the website of the service which provides Your browser.
Moreover, optional subscription to the newsletter requires You to provide Your email address.
Indemnity
Dexli cannot be held responsible for the presentation of products and services offered by the Merchant, for the order or the use of products from Merchants listed on our site.
General Rules Regarding Use
When You use the Services on Dexli, You agree, by adopting normal and reasonable behaviour, not to restrict their function in any way. Notably, You agree not to:
1. Disrupt, slow, block or alter the normal transmission of data exchanged in the framework of the Service, speed up the download of Content from the Service in such a way that the functioning of the Service becomes modified or altered or commit any other action with a similar disruptive effect on the Service
2. Access fraudulently, claim, restrict or disrupt the information systems of Dexli and notably the Services, servers, networks providing access to the Services, or refuse to conform to the required Conditions, procedures, general rules or to regulatory arrangements applicable to the networks permitting access to the Services.
Dexli reserves the right, in such an event, to take all measures necessary to cease these arrangements and obtain compensation for any loss.
Modification of Services and Conditions of Use
The offer of services on Dexli is evolving in nature and Dexli will bring about the release of new Services, but also, should the need arise, to delete some of them or modify the characteristics of existing Services, according to the conditions outlined below. Dexli can also modify these Conditions of Use without notice.
Intellectual Property Rights
The Services as well as all the software tools used by Dexli in relation to the Services contain confidential information which is protected, notably by the right to intellectual property. Dexli cedes to You the right for personal use, inalienable and non-exclusive of the Services, and You are not permitted to copy, modify, integrate the technical elements of the Services in a derived work, to use reverse engineering (given that in any case, Dexli will engage to provide, within reason, the information necessary for the interoperability of programs on demand, depending on motivation and circumstances) or to implement any other method to attempt to access the source code or protocols. You accept not to access the Service by any means other than the interface offered to You by Dexli to this effect.
You also recognise that all the content presented on the Dexli website, including content of third parties, are protected by royalties, copyright, trademarks, licensing rights, and any other intellectual property right recognised by law.
You are not permitted, therefore, to reproduce, imitate and use in any way, all or part of the content protected by intellectual property rights without having prior express authorisation from the copyright owners.
Guarantees
You expressly recognise and accept that:
1. The free service is designed for non-professional, reasonable and normal use for the maximum number of users
2. With regard to the nature of the services, and certain constraints (notably maintenance), Dexli cannot guarantee continuity of the Services. In the event of an interruption of the Services, Dexli will put into place all reasonable measures to remedy it in the shortest time possible.
3. Dexli will make its best effort to provide the most recent and accurate information and data, notably, price, on goods and services listed on our website. However, as this information and data are given to use either by listed Merchants or by a listing agreement, Dexli cannot guarantee that the information to be accurate or exhaustive.
Dexli will engage to update its website, taking into account any delays indicated in section 2, any change of this information and data brought to our attention by Merchants. However, Dexli cannot guarantee, due to technical constraints, that this updating on its website will be immediate, nor that it will appear simultaneously in the results of keyword searches or category searches for goods and services.
In the case of a discrepancy between the data displayed on the Dexli website and those displayed on the Merchant’s website, the latter will prevail.
4. Dexli does not offer any guarantee of the content of Users’ Opinions collected via its services, which only reflect the author, but will, in any case, take actions outlined in article 3
Responsibility
Dexli’s responsibility in providing its services cannot be engaged unless in the case of fault proven by the User and only for direct damages.
Additionally, Dexli cannot be held responsible for, including but not restricted to: indirect damages, loss of profit, clientele data or information during the professional or commercial use of Dexli. Dexli cannot, in any way, be held responsible for orders or investment decisions based on information provided by the Service.
Miscellaneous
The limits of Dexli’s rights recognised in applying these conditions does not, in any case, constitute a renunciation to exercise its legal rights.
In the event that one of the scenarios in these Conditions of Use is overruled by a judicial decision, this decision will not revoke the validity of other arrangements, which will continue to apply.
The titles of the articles are only indicative.
These Conditions of Use are accompanied by specific conditions of use for certain Services.
Litigation
These Conditions of Use between Dexli and the USERS are subject to LOCAL AND INTERNATIONAL LAWS. In the case of a dispute, Dexli and the User will endeavour to find an amicable solution. Failing this, a law suit will be pursued before a competent tribunal.
